(“Licensor” or “CYBERARMS AG”)
This End-User License Agreement (“Agreement”) governs the use of any CYBERARMS software, web application, service, or related documentation (collectively the “Software”) provided by CYBERARMS AG.
By installing, accessing, or using the Software, the individual or legal entity (“Licensee” or “You”) agrees to be bound by the terms of this Agreement.
If You do not agree, do not install or use the Software.
2.1 The Licensor grants You a non-exclusive, non-transferable, worldwide, revocable license to install and use the Software solely for Your internal business or personal use, in accordance with this Agreement and the documentation provided.
2.2 The license type (e.g., single user, site, enterprise, or subscription) and duration are specified in the order, activation key, or license certificate provided.
2.3 All rights not expressly granted remain the property of CYBERARMS AG.
You shall not:
Copy, modify, translate, or create derivative works of the Software.
Reverse-engineer, decompile, disassemble, or attempt to derive source code, unless explicitly permitted by law.
Remove or alter copyright notices, trademarks, or license keys.
Use the Software to develop competing products or services.
Rent, lease, lend, resell, sublicense, or distribute the Software to third parties.
Circumvent technical protection mechanisms or license verification.
All title, ownership rights, and intellectual property rights in and to the Software, documentation, logos, and associated materials remain exclusively with CYBERARMS AG and its licensors.
This Agreement does not convey ownership — only limited use rights.
5.1 CYBERARMS AG may provide updates, patches, or enhancements (“Updates”) from time to time.
5.2 Updates are provided at the Licensor’s discretion and may be subject to additional terms or fees.
5.3 The Licensor has no obligation to maintain compatibility with third-party systems or older Software versions.
6.1 The Software may process limited personal or system data for functionality, licensing, or telemetry.
6.2 Any processing of personal data is governed by the CYBERARMS AG Data Processing Agreement (DPA) and Privacy Policy (available at https://www.cyberarms.net/privacy).
6.3 All transmitted data is encrypted using industry-standard technologies.
Both parties shall keep all non-public information obtained during the execution of this Agreement confidential and shall not disclose it to third parties without written consent, unless required by law.
8.1 The Software is provided “as is” without any express or implied warranty, except where required by applicable law.
8.2 CYBERARMS AG does not guarantee that the Software will be error-free, uninterrupted, or meet all requirements.
8.3 The Licensee is responsible for verifying compatibility and maintaining backups.
To the maximum extent permitted by law:
CYBERARMS AG shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of profits, data, or business.
The total cumulative liability of CYBERARMS AG for all claims shall not exceed the license fee paid by the Licensee for the Software during the twelve (12) months preceding the claim.
These limitations apply regardless of the form of action (contract, tort, negligence, etc.).
You agree to indemnify and hold harmless CYBERARMS AG, its affiliates, and employees from any claims, damages, or expenses arising from Your misuse of the Software or breach of this Agreement.
11.1 This Agreement enters into force upon installation or use of the Software and remains valid until terminated.
11.2 CYBERARMS AG may terminate this Agreement immediately if You breach any term or fail to pay applicable fees.
11.3 Upon termination, You must cease all use, uninstall, and destroy all copies of the Software and documentation.
11.4 Sections 4, 7, 8, 9, and 13 survive termination.
The Software may be subject to Swiss, EU, and U.S. export control laws.
You agree not to export or use the Software in any country or jurisdiction prohibited by applicable export laws or sanctions.
13.1 This Agreement is governed by the laws of Switzerland, excluding its conflict-of-law provisions and the UN Convention on Contracts for the International Sale of Goods (CISG).
13.2 The exclusive place of jurisdiction is Widnau, Switzerland, unless mandatory consumer protection laws dictate otherwise.
13.3 For U.S. customers, disputes may alternatively be resolved under Swiss arbitration rules in English.
Severability: If any provision is held invalid, the remaining provisions remain in effect.
Entire Agreement: This Agreement, together with the Privacy Policy and DPA, constitutes the entire agreement between the parties.
Waiver: Failure to enforce a right does not constitute a waiver.
Assignment: The Licensee may not assign or transfer rights without written consent.
Language: The English version of this Agreement is legally binding; translations are for convenience only.
